Customers acknowledge that declining recommended maintenance, security updates, hardware replacement, or other corrective actions may increase operational or security risks.
Unless expressly included in the applicable agreement, major projects, equipment replacements, after-hours support, migrations, and remediation of preexisting conditions may incur additional charges, subject to customer authorization.

Customers remain responsible for adopting appropriate internal security practices and fulfilling their applicable legal and regulatory obligations.
NurBridge will perform contracted cybersecurity services using reasonable care and professional judgment, subject to the scope and limitations of the applicable agreement.

Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from another source, or required to be disclosed by law.
Where NurBridge processes personal information on behalf of a customer, applicable data processing agreements and service contracts will govern the parties’ respective responsibilities.

Before enrollment, NurBridge will disclose applicable recurring charges, billing frequency, renewal terms, and cancellation procedures.
Where a customer authorizes recurring payments, the customer authorizes the applicable charges according to the agreed subscription terms.
Customers may request cancellation through the customer portal or another cancellation method specified in their service agreement.
Cancellation becomes effective according to the applicable service-specific terms and does not automatically eliminate charges already incurred.
Any minimum service commitment, advance notice requirement, or early termination fee must be expressly disclosed and agreed upon.
Suspension of Services
NurBridge may suspend affected services when reasonably necessary because of:
- Materially overdue payments following any required notice and opportunity to cure
- Material violations of these Terms or an applicable Acceptable Use Policy

Where reasonably practicable, NurBridge will provide advance notice and an opportunity to resolve the issue.
Immediate suspension may be necessary to address an urgent security, legal, or operational risk.
Suspension will be limited to the extent reasonably necessary under the circumstances.
Restoration may depend on resolving the underlying issue and satisfying applicable contractual obligations.
Termination and Cancellation
Either party may terminate services according to the applicable service agreement, subscription terms, or service order.
Unless otherwise agreed, a party may terminate for a material breach that remains uncured after [insert cure period] following written notice.
Upon termination:
- Services will end according to the applicable termination date.
- Outstanding charges for services already provided remain payable.
- Customer access to hosted services may be discontinued.
- Customer data will be handled according to the applicable agreement, retention requirements, and legal obligations.

Third-Party Products and Services
NurBridge may resell, configure, integrate, or support products and services supplied by third-party vendors.
These may include cloud platforms, software subscriptions, hardware, telecommunications services, and cybersecurity solutions.
Third-party products may be governed by separate vendor licenses, warranties, service terms, and acceptable use policies.
NurBridge is not the manufacturer or original developer of third-party products unless expressly identified as such.
NurBridge remains responsible for performing its own contracted obligations, but does not independently guarantee third-party service availability or product performance beyond commitments expressly assumed in writing.

Unless otherwise agreed in writing, customers receive only the rights necessary to use the purchased services during the applicable service term.
Ownership and licensing of custom-developed deliverables will be governed by the applicable Statement of Work or project agreement.
Customers retain their ownership rights in customer-provided data and content.
Warranties and Disclaimers
NurBridge will perform its professional services with reasonable care and skill consistent with generally accepted industry practices.
Except for express commitments in an applicable written agreement and warranties that cannot lawfully be excluded, no additional warranty is provided regarding uninterrupted availability, error-free operation, or fitness for a particular business outcome.
Third-party product warranties, where applicable, are provided according to the relevant manufacturer’s or vendor’s terms.
Nothing in these Terms excludes rights or remedies that cannot lawfully be waived.
Limitation of Liability
[This section requires attorney review and a negotiated liability cap before publication.]
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages arising from the services, including lost profits or business interruption, except to the extent such exclusions are prohibited by law or expressly overridden by an applicable agreement.
Subject to applicable law and any expressly agreed exceptions, each party’s aggregate liability arising from a service will not exceed [insert negotiated liability cap, such as a defined amount or fees paid or payable during a specified period].
The parties should expressly identify any exceptions to these limitations, including as appropriate fraud, willful misconduct, confidentiality breaches, data protection obligations, intellectual property claims, and payment obligations.
These limitations apply only to the extent enforceable under applicable law.
Indemnification
[To be finalized based on the services provided and applicable agreements.]
Each party’s obligations to defend, indemnify, or hold harmless the other party against third-party claims, if any, will be governed by an executed agreement or expressly agreed service-specific terms.
No indemnification obligation is created solely by this section.
Events Beyond Reasonable Control
Neither party will be responsible for delays or failures to perform nonpayment obligations caused by events beyond its reasonable control, including natural disasters, widespread telecommunications failures, government actions, labor disruptions, or other extraordinary events, provided that the affected party takes reasonable steps to mitigate the impact.
This provision does not excuse obligations that can reasonably continue despite the event.
Changes to Services and Terms
NurBridge may update its services, technical requirements, or these Terms to reflect changes in technology, security requirements, business operations, or applicable law.
Material changes affecting existing customer rights or obligations will be communicated in advance where required by law or contract.
Changes to an existing fixed-term or separately negotiated agreement will take effect only as permitted by that agreement and applicable law.
Continued service use will not, by itself, constitute acceptance of a material contractual change where affirmative agreement is required.
Governing Law and Dispute Resolution
These Terms will be governed by the laws of [insert applicable U.S. state], without regard to its conflict-of-law principles, except where applicable law requires otherwise.
The parties agree to attempt in good faith to resolve disputes through written notice and reasonable business discussions before initiating formal proceedings, except where immediate legal relief is necessary.
The applicable forum, venue, and any additional dispute resolution procedures will be established in the relevant agreement or finalized in this section before publication.
Notices and Communications
Official contractual notices must be delivered using the methods and addresses specified in the applicable service agreement.
Routine operational notices, billing communications, maintenance announcements, and support updates may be delivered electronically to the customer’s designated contacts.
Customers are responsible for maintaining accurate contact information.
General Provisions
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain effective to the extent permitted by law.
Failure to enforce a provision does not constitute a waiver of the right to enforce it later.
Neither party may transfer its contractual rights or obligations except as permitted by the applicable agreement and law.
These Terms, together with applicable orders and incorporated agreements, constitute the agreement governing the relevant services, subject to the order of precedence in Section 3.
